P3 Commercial Director (Concessions)

S&B USA Concessions is a leader in the development, investment, construction, operation and financing of large scale infrastructure P3 projects globally. We're looking for highly motivated, experienced junior/mid-level attorney or commercial manager to join the Concessions team at S&B USA. In this role the candidate will have the chance to contribute to meaningful involvement in innovative infrastructure projects that benefit communities across the United States.

Responsibilities:



  • Managing legal/commercial aspects of P3 projects or project finance-based construction projects, with both public and private sector clients
  • Manage internal corporate/commercial agreements with partners and consultants (experience with corporate transactions and teaming agreements a plus)
  • Draft and review procurement, finance and construction packages, including those using alternative project delivery methods, such as public-private partnerships (P3), predevelopment agreements (PDAs), traditional and progressive design-build, and other forms of alternative delivery contracting.
  • Manage internal and external legal counsel
  • Facilitating internal project and investment proposals, coordinating investment approvals with risk and investment committees
  • Preparing Board materials and internal presentations for legal and commercial activities


Technical / Industry Knowledge:



  • Five (5) or more years of substantial and relevant transactional experience in infrastructure, transportation, public procurement, and public and/or private finance matters.
  • Preferred (not required): a university degree (LLB; JD) in law and member of a state bar association oradmitted to practice law in a U.S. jurisdiction (New York, Pennsylvania, Washington DC, Maryland or Virginia preferred)
  • Experience working in private practice and or on commercial transactions and/or as in-house legal counsel or commercial director at an energy/infrastructure development or construction company
  • Experience with project procurements for surface transportation (e.g. roads, transit and rail, bridges and tunnels, and autonomous vehicles), airports, water, government facilities, transit-oriented and mixed-use development, universities, and renewables projects
  • Experience drafting / negotiating shareholder agreements, investment agreements, LLC agreements etc.
  • Demonstrating exceptional drafting, writing, analytical, and advocacy skills and the ability to successfully interact with clients and colleagues
  • Familiarity with all customary industry agreements (e.g., project agreements, construction agreements and credit support documentation)
  • Understanding of the laws, regulations and rules applicable to the US P3 market and construction market
  • Experience supporting, and administering corporate documentation and risk policies


Position Details:

This is a full-time position to be located in Washington DC/ NOVA. The salary range is commensurate with experience.
