Senior Corporate Counsel Responsibilities & Duties
* Demonstrate leadership ability and a high level of project management skills. * Provide legal advice and support on a wide range of corporate issues, including, corporate governance, mergers and acquisitions, government terms and conditions (FAR/DFARS, etc.), cyber security, import and export regulations, etc. * Draft, review, and negotiate various types of contracts and agreements. * Ensure compliance with all applicable laws and regulations. * Assist with corporate litigation and disputes/ working with outside counsel. * Work with company to protect intellectual property and assets. * Advise senior management on legal risks and strategies. * Participate in the development and implementation of company policies and procedures. * Provide training and guidance to other members of the legal team and company employees at all levels of the organization as needed. * Conduct legal research and stay updated on changes in laws and regulations applicable to the company. * Any other projects assigned by Head or Managing Counsel. Senior Corporate Counsel Skills * Strong negotiation skills. * Excellent analytical and problem-solving abilities. * Ability to manage multiple projects independently and prioritize tasks effectively through completion. * Strong interpersonal and communication skills, and comfort advising executive-level employees. * Experience with intellectual property law is a plus. * Ability to work independently and as part of a team. * Demonstrated ability to provide sound legal advice on matters noted above and willingness to take on new, complex matters and special projects. * Excellent written and verbal communication skills. * Proficiency in legal research and analysis. * Ability to work under pressure and meet tight deadlines. * High ethical standards and professional integrity. * Strong organizational skills and attention to detail. Senior Corporate Counsel Qualifications * Juris Doctor (JD) degree from an accredited law school. * Active bar membership in good standing to a state bar of the United States. * At least 5 years' relevant legal experience, with in-house corporate counsel experience strongly preferred. * Exposure to U.S. government contracting work and relating regulations (FAR/DFARS, etc.) also strongly preferred. | |
