Job Summary:

As a Corporate Paralegal at Croell, Inc., you will provide legal and administrative support to the Executive Team and key employees, assisting with real estate transactions, contract and lease reviews, and the drafting and amendment of basic legal documents. You will also manage internal and external communications related to legal matters, ensuring strict confidentiality and accuracy in all tasks.

This is a full-time, in-office position based at our headquarters in New Hampton, Iowa. The role reports directly to the Chief Financial Officer (CFO) and does not include supervisory responsibilities. Remote work is not available.

Primary Responsibilities:



  • Maintain and organize all corporate records in a structured and easily accessible system.
  • Review and manage various business contracts and leases, including Pit and Quarry agreements, Royalty agreements, Tenant and Subcontractor agreements, Customer contracts, and Non-Disclosure Agreements.
  • Assist in the review and management of legal documents related to acquisitions, subcontractors, and other corporate transactions.
  • Coordinate due diligence efforts by gathering, organizing, and analyzing necessary documents for corporate transactions.
  • Assist in the execution and post-closing follow-up of transaction documents.
  • Lead smaller land acquisition efforts by coordinating with local counsel and internal stakeholders.
  • Conduct legal research and analysis to support corporate initiatives, risk management, and compliance with applicable laws and regulations.
  • Review customer purchase orders and Terms & Conditions.
  • Support Accounts Receivable Collections by helping with issue accounts, filing liens, handling small claims, and exploring other legal remedies.
  • Enhance and maintain an effective tracking system for lease renewals, annual corporate reports, lien filings, litigation, and other key deadlines.
  • Monitor and ensure compliance with corporate governance requirements, including entity management, licensing, and regulatory filings.
  • Process and respond to ad hoc legal-related requests from various departments.



Position Requirements:



  • Consent to authorization of a pre-employment background check and drug test.
  • A minimum of four (4) years of experience as a paralegal or in a contract-related role, with demonstrated knowledge of legal terminology, contract law, and legal document review. Experience in the construction or related industries is a plus.
  • Strong attention to detail, with a proven ability to produce accurate and high-quality work. Sometimes under tight deadlines.
  • Strong analytical skills with the ability to assess legal documents, identify key issues, and provide well-reasoned recommendations to attorneys and executives.
  • Demonstrated ability to handle sensitive and confidential information with the highest level of discretion and professionalism.
  • Proven ability to support and take direction from multiple executives, balancing priorities effectively in a fast-paced environment.
  • Excellent verbal and written communication skills, with the ability to professionally interact and coordinate tasks across all levels of management, business contacts, and legal professionals.
  • Ability to manage multiple tasks and projects simultaneously while maintaining organization, efficiency, and accuracy.
  • Proficiency in Microsoft Word, Outlook, and Adobe Acrobat. Experience with contract management software and legal research tools is a plus.
  • Notary Public certification is a plus but not required.
